SUPERVOLT PARTNER PROGRAM - TERMS AND CONDITIONS
SUPERVOLT PARTNER PROGRAM – TERMS AND CONDITIONS
Date of entry into force: 06.05.2025
Welcome to the Supervolt Affiliate Program! To ensure that your promotions are successful and fair, we ask you to observe the following rules:
- Tracking via the affiliate link
Sales are allocated exclusively via the affiliate link or an individually created voucher code, if one has been issued after consultation.
The commission will only be credited to you if customers buy via your individual affiliate link or coupon code.
- Please make sure that your link is used correctly and is not changed.
- When a user follows your affiliate link to visit the program website, we create a transaction ID via the affiliate marketing platform, which is transmitted to the corresponding Supervolt website. The website stores this ID in the user’s browser for 30 days. If a purchase is made on the corresponding website within these 30 days, the information about the purchase is transmitted to the partner marketing platform based on the transaction ID. This transaction ID is used to identify the user as a referral from you. If the user uses a different device/browser or deletes the browser data or the transaction ID is lost for any reason prior to the purchase, we will not be liable and will not pay you any commission for any purchases of our services by that user.
- Use of affiliate links and changes
- Affiliate links or voucher codes may be embedded in social media, emails, blogs or websites.
- By using the links or distributing the voucher codes, you agree to cooperate with us to a reasonable extent.
- We reserve the right to change, suspend or discontinue any aspect of any offer, link or coupon code. You agree to remove, modify or adjust the links, graphics or banner ads you use as part of the Affiliate Program and to respond promptly to any request from us to do so.
- Illegal promotion methods
To ensure that our affiliate program remains fair, transparent and brand compliant, the following practices are expressly prohibited. Violations may lead to the deactivation or permanent blocking of the affiliate account.
3.1 Voucher portals & discount code websites
- It is not permitted to distribute discount codes or affiliate links on publicly accessible voucher websites, discount communities or cashback platforms.
3.2 Keyword advertising & trademark law
- The placement of ads on our brand terms (e.g. via Google Ads or social ads with our company name or product name) is prohibited.
- The same applies to misleading domains, e.g. “www.unseremarke-rabatt.de”.
3.3 Misleading or false statements
- You must not make false or exaggerated promises, e.g:
- “50% off today only!” (if that’s not true)
- “Official partner” (if you are not)
- Advertising must be truthful, transparent and honest
3.4 Spam & unwanted contact
- The sending of affiliate links via unsolicited mass e-mails (spam), WhatsApp chains or messenger groups is not permitted.
- Only use channels where you have an active community or recipient consent.
- Comment SPAM: Posting links in comments and forums. Using automated bots to spam comments with your affiliate link.
- The use of bots, automatic scripts or click farms to generate clicks or sales is strictly prohibited.
- So-called “cookie dropping” – the unsolicited setting of affiliate cookies – is also a clear violation.
- Recommendations for successful promotion
- Use personal testimonials or authentic recommendations.
- Links directly in relevant contexts (blog posts, tutorials, recommendations).
- Labeling of advertising and partnerships
It is a legal requirement to clearly label advertising and partnerships. This ensures that your followers or users understand that this is paid advertising or a partnership.
- All sponsored posts, promotions and affiliate links must be clearly marked as “advertising”, “advertisement”, “sponsored” or “affiliate link”. This can be done either at the beginning of the post or in direct connection with the advertisement.
- Any collaboration or partnership with brands or companies must be disclosed in a way that is clear and understandable to the target audience. This could, for example, take the form of a statement such as “In collaboration with Supervolt” or “Partner of Supervolt“.
- The labeling must be in a form that is clearly visible to the user. This includes, for example, references in the text of the post, in the image description or in the headline if it is a social media platform.
- The aim is to create transparency and not to jeopardize the trust of users. Users should always know whether content originates from a commercial partnership or is the personal opinion of the creator.
- Determination of commissions
We pay a commission for each qualified action (“Commission”). A “Qualifying Action” is counted when all of the following conditions are met:
- A single person accesses the program website via the link;
- Pre-filled fields may not be used;
- The person buys a product from our online store;
- The person does not request a refund, chargeback or cancellation of the product(s) within 14 days of purchase.
Actions that do not meet the conditions for a Qualifying Action under Section 3.1 will not be considered Qualifying Actions, including but not limited to the following cases:
- The program website is accessed by a computer-generated user, such as a robot, spider, computer script or other automated, artificial or fraudulent method to look like a real person;
- The access is later determined by us to be fraudulent, incomplete, unqualified or duplicate;
- The actions taken by the Affiliate are in breach of this Agreement (including, but not limited to, the Affiliate’s obligations set out in this Agreement) and/or the requirements of applicable law.
The commission rate is 5% of the net sales generated.
- Payment of commissions
7.1. Small business (§ 19 UStG)
- If you operate as a small business for VAT purposes, the commission earned will be paid out as soon as the balance to be paid out exceeds €100. Please write to us at [email protected] as soon as you would like to be paid out.
- Payment is made by bank transfer. Amounts under €100 are carried over to the following month and added together until the minimum limit is reached.
- No interest is paid on the credit balance.
7.2 Standard taxation (regular entrepreneur)
- Affiliate partners who operate as regular taxable persons for VAT purposes must issue an invoice for payment.
- Payments can be made either via PayPal or bank transfer.
- Due to our refund policy, you cannot request payment of the respective commissions earlier than 21 days after this amount has been generated.
- Notes:
– The current turnover can be viewed at any time in the dashboard.
– You are responsible for the correct tax treatment of your income (e.g. income tax, corporation tax, trade tax, VAT) and must provide us with a proper invoice.
7.3 Requirements for commission payments
- Subject to clauses 7 “Determination of Commission” and 9 “Prohibition of Fraud”, commission will only be paid if and when we determine that your actions qualify as Qualifying Actions and have remained in accordance with this Agreement throughout the period for which commission is paid and up to the date of payment.
- We reserve the right to refund from your Affiliate Account any previous payments for Qualifying Promotions that are later determined by us to be non-compliant Qualifying Promotions.
- We reserve the right to withdraw any unpaid commission or commissions already paid that are not in compliance on your Affiliate Account if we determine that the information provided in the Affiliate Program Application is incorrect or incomplete or if you are in breach of any other obligation under these Affiliate Program Terms.
7.4 Tracking and calculation basis
- All tracking of links, determination of qualifying promotions and calculation of commissions will be made by us in our sole discretion in accordance with our technology.
- If you also track links and qualified actions, our tracking results always apply.
7.5 Objections to the calculation of commission
- You should send payment requests to our accounting department ([email protected]) and we will provide you with our calculations of the amount of commission you have earned.
- If you dispute in good faith any portion of the commissions calculated by us (e.g., mathematical errors in the calculation), you agree and must (i) notify us of such disputed amount in writing with sufficient detail within thirty (30) days of notification of the commission amount for the applicable period, (ii) provide authorized personnel to resolve the dispute.
- If you do not dispute the amount charged as described above, you irrevocably waive any claims based on that amount. Any amounts not timely and properly disputed shall be deemed final and may not be further disputed.
7.6 Dependence on customer payments
- Our commission payments depend directly on payments from customers. We are therefore only responsible for commissions to the extent that we have received such payments from customers.
- You are not entitled to commissions if we have not received corresponding payments from the customers (including, but not limited to, chargebacks, refunds, cancelations).
7.7 Chargebacks and commission corrections
- In the event of refunds, chargebacks, or cancelations after the purchase (e.g. chargebacks, refunds, cancelations), the respective amount of the commission will be canceled.
- We provide refunds to our customers in accordance with our refund policy or at our discretion, which means that our customers normally have the right to cancel their orders and request a refund within a specified period of time after purchase. However, there is no time limit on customers’ right to a chargeback.
- If we have already paid you the relevant commission, we will deduct the corresponding amount from our next payment.
7.8 Suspected fraud and account verification
- If the chargeback, refund or reversal rate on your Affiliate Account is unusually high or we suspect that your Affiliate Account is being used for fraudulent activity or violations of this Agreement and/or applicable law, we reserve the right to place restrictions on your Affiliate Account immediately upon written notice, including, but not limited to, suspending your Affiliate Account and all payments associated with your Affiliate Account and conducting a full investigation (internally or involving appropriate third parties).
- If we deem it necessary, we have the right to notify the relevant law enforcement authorities, regulators or third parties of any actual or alleged breach of law and/or fraud committed by you (whether or not in connection with this Agreement). Once we are satisfied that the matter has been resolved, we will remove the restrictions on your Affiliate Account.
7.9 Offsetting with outstanding receivables
If there is an outstanding balance with respect to any of our products under this Agreement or any other agreement between you and us, whether or not relating to the Affiliate Program, you agree that we may deduct such amounts from any payments owed to you under this Agreement.
7.10 Tax liability of remuneration
You acknowledge that you understand that all fees paid by us may be taxable (including but not limited to all income taxes, VAT, social security and health insurance taxes, and any taxes or fees required to be withheld by local tax authorities), and you are responsible for declaring the fees received and paying the applicable taxes.
- Prohibition of fraud
The credibility of Affiliates is essential to us. It is expressly prohibited to use any person, means, device or arrangement to commit fraud, violate any applicable law, interfere with the activities of other Affiliates or falsify and/or conceal any information related to linking or generating commissions, or exceed your permitted access to the Affiliate Program. Such acts include, but are not limited to, using automated means to increase the number of clicks on the links or to complete required information, hiding traffic or making it inaccessible to us, using spyware, stealware, cookie stuffing and other fraudulent acts such as click fraud. Such and similar actions constitute a material breach of this Agreement. We will decide on fraudulent activities at our own discretion.
If we have reason to believe that your Affiliate Account is being used for fraudulent activity and/or fraudulent transactions or is in any way associated with fraudulent activity, we may refuse to pay commissions to you (in whole or in part), terminate this Agreement, suspend or delete your Affiliate Account and/or require you to refund all commissions paid by us in connection with your participation in the Affiliate Program.
- Validity and termination
This Agreement shall become effective upon our approval of your application for the Affiliate Program and shall remain in effect until terminated by you or us.
Either you or we may terminate this Agreement at any time without cause by giving the other party 3 (three) days written notice. We may terminate the Agreement immediately for cause, without limitation and without any liability, if you breach any material obligation under this Agreement.
“Important reason” means, among other things, but not exclusively:
- The Services you provide (a) do not conform in whole or in part to the Agreement; (b) do not conform to established business practices, professional standards or industry guidelines; (c) violate any applicable law, regulation, judicial or administrative action or the rights of any third party; (d) is defamatory, obscene, harassing, unlawful, vulgar, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable; (e) is damaging to the reputation, brand, image, public image, expression or rights of us, our representatives, affiliates, officers, directors, employees, agents, customers, service providers and other related third parties;
- You breach the general warranties and representations set forth in the Terms and Conditions and/or provisions of these Affiliate Program Terms;
- We believe that we may face potential claims or liabilities in connection with your participation in the Affiliate Program;
- We believe that our brand or reputation could be affected by your participation in the Affiliate Program.
If you have not earned commissions or logged into your Affiliate Account within six (6) months, we may, in our sole discretion, unilaterally terminate this Agreement, close your Affiliate Account and forfeit all unpaid commissions. We are released from all obligations to you, including financial obligations, under the Agreement.
Upon termination of this Agreement for any reason, you must immediately: (i) use the Links, remove them from your Media and delete them; (ii) use all of our intellectual property and the intellectual property of Customers; and (iii) continue to represent yourself as our Affiliate.
Upon termination of your participation in the Affiliate Program for one or more Offers or termination of this Agreement for any reason, all rights to validly accrued payments, claims and provisions that by their nature are intended to survive termination shall survive termination, unless expressly stated otherwise.
We may retain accrued unpaid commissions for a reasonable period after the termination of this Agreement to ensure that the correct amount of commissions is paid (e.g. to account for chargebacks, refunds, cancellations or returns).
- Legal remedy
In addition to any other rights and remedies available to us under this Agreement, at law or in equity, we reserve the right to (i) terminate the Agreement and/or suspend or delete your Affiliate Account, (ii) delete any Promotions submitted through your Links, and (iii) withhold any unpaid Commissions and/or elect not to pay any unpaid Commissions and/or reverse any Commissions already paid upon written notice to you if:
- we find that you have breached this agreement;
- we receive complaints about your participation in the Affiliate Program that we reasonably believe violate this Agreement;
- a Qualifying Promotion is later determined to be non-compliant with the requirements of this Agreement or the Affiliate Program.
Such blocking and/or withholding of commissions or chargebacks of commissions paid will occur regardless of whether such commissions were earned as a result of such violation.
- Changes to this agreement
We reserve the right to make changes to these terms and conditions of this agreement at any time at our sole discretion. Such changes will become effective upon posting to the Affiliate Program. We reserve the right to notify you by email and also reserve the right to make changes to this Agreement without notice.
Changes may include, but are not limited to, changes in the amount of commissions available, commission amounts/percentages, payment processes, commission payment schedules and affiliate program rules.
If any change is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Affiliate Program following the posting of a change notice or new agreement on our website constitutes your binding acceptance of that change.
- Independent review and investigation
By applying for the Affiliate Program, you acknowledge that you have read this Agreement (including the Terms and Conditions) in its entirety and agree to be bound by all of its terms. You understand that other Affiliates may have a different relationship with us than you, including competitors.
You acknowledge that you have independently investigated and evaluated the benefits and disadvantages of participating in this Affiliate Program and have not relied on any warranties, representations or statements other than this Agreement as set forth herein.
